This License Agreement (the “Agreement”) is entered into by and between Rob Gorrie (“Licensor”) and the user of the Trexity Shipping for WooCommerce plugin (“Licensee”).

1. Definitions

Plugin” refers to the Trexity Shipping for WooCommerce software, including all associated files, documentation, and updates.

2. Grant of License

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the Plugin in accordance with the terms set forth herein.

3. Ownership and Copyright

3.1. The Plugin is the intellectual property of Rob Gorrie and is protected by copyright laws and international treaty provisions.

3.2. Licensee acknowledges that no title to the intellectual property in the Plugin is transferred to Licensee.

4. Restrictions

4.1. Unauthorized copying, distribution, or modification of this Plugin is strictly prohibited.

4.2. Licensee may not sublicense, assign, or transfer the license or the Plugin.

4.3. Licensee may not reverse engineer, decompile, or disassemble the Plugin.

5. Payment

5.1. This Plugin must be paid for before it can be used. Any use of this Plugin without prior payment is illegal and constitutes a breach of this Agreement.

5.2. Payment terms are as specified on the Licensor’s website or as otherwise agreed in writing.

6. Disclaimer of Warranty

6.1. The Plugin is provided “as is,” without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2. In no event shall the Licensor be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the Plugin or the use or other dealings in the Plugin.

7. Limitation of Liability

7.1. To the maximum extent permitted by applicable law, in no event shall Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Plugin, even if Licensor has been advised of the possibility of such damages.

8. Termination

8.1. This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee fails to comply with any term of this Agreement.

8.2. Upon termination, Licensee must cease all use of the Plugin and destroy all copies of the Plugin in Licensee’s possession.

9. Governing Law

9.1. This Agreement shall be governed by and construed in accordance with the laws of Canada, without giving effect to any principles of conflicts of law.

 

10. Entire Agreement

 

10.1. This Agreement constitutes the entire agreement between the parties with respect to the use of the Plugin and supersedes all prior or contemporaneous understandings regarding such subject matter.

 

11. Amendments

 

11.1. Licensor reserves the right to amend this Agreement at any time by posting the amended terms on the Licensor’s website. Continued use of the Plugin after such amendments constitutes acceptance of the amended terms.

12. Compliance with Laws

12.1. Licensee agrees to comply with all applicable local, state, national, and international laws and regulations in its use of the Plugin.

By using the Trexity Shipping for WooCommerce plugin, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
